Buyer Policies

Definitions And Interpretations :

  1. 1. "BUYER"
    A authorized business associate of wholesaleduniya.com herein after referred to as the "BUYER" .
  2. 2. "COMPANY"
    Dynamic Microlink Private Limited, a company incorporated under the company's act 1956, and having its corporate office at 501, Empire State Building, Udhana Darwaja, Ring Road, Surat 395 002, India, herein after referred to as the "COMPANY".
  3. 3. "WEB SITE"
    Wholesaleduniya.com is the Ecommerce Wholesale Market Place of the Company, herein after referred to as the "WEB SITE".
  4. 4. The "Buyer" warrants and represents to that it is a company / firm, validly existing and a good standing under the laws of republic of India. All the obligations of the "Buyer" under this Terms and Conditions Document are legal, valid and binding obligations enforceable in accordance with its terms. There are no proceedings pending against the Buyer, which may have an adverse effect on the ability of the Buyer to perform and meet its obligations under this Terms and Conditions Document.
  5. 5. On consideration of the "Buyer's" applications and relying on such assurances and representations, Company appoints the Buyer as a business associate of the wholesaleduniya.com on the terms and conditions set forth in this Terms and Conditions Document and in the website.
  6. 6. The term of any type of business association with the company is one year.
  7. 7. Buyer has to buy products from Company through its website wholesaleduniya.com or direct offers provided exclusively for Buyers.
  8. 8. "Buyer" can sell products in wholesale, retail or online.
  9. 9. The entire business being on pre-payment basis, Buyer has to place purchase order through website and pay using various payment method available on the website.
  10. 10. A Buyer is entitled for Unsold Replacement as per the Replacement Policy of the Company. Buyer will be eligible for replacement only after achieving minimum purchase target every month.
  11. 11. Buyer has to PROTECT Intellectual Property rights of its suppliers including the Brand Name, Company Logo, Product Catalogues, Modelling image etc.
  12. 12. "Buyer" shall keep all information of confidential nature received from the Company in whatever form as strictly confidential and shall not disclose it to third Parties without the prior consent of Company during the term of this Terms and Conditions Document.
  13. 13. "Buyer" agrees not to disclose pricing Information and other details without prior written consent of the company.
  14. 14. Buyer shall conduct their business at all times, in accordance with the applicable statutes, regulations, notification etc., Issued by the Government or any other statutory authority.
  15. 15. Buyer has to follow Code of Conduct for Buyer published on the Company website.
  16. 16. Limitation of liability: The Parties shall not be liable for any incidental, special, indirect or consequential damages arising out of or relating to this Terms and Conditions Document.
  17. 17. This Terms and Conditions Document comes into force on the date of registration with the site and shall continue for one (1) year after this date. This Terms and Conditions Document may be extended on the mutual Terms and Conditions of both parties.
  18. 18. This Terms and Conditions Document may be terminated by either party at any time, without assigning any reason by giving prior written notice of Sixty (60) days. One time unsold replacement will be provided even after termination of this Terms and Conditions Document as per Unsold Replacement Policy.
  19. 19. Company shall be entitled to terminate this Terms and Conditions Document, with immediate effect upon happening of one or more of following:
    a. Any breach or violation of any of the terms and conditions of this Terms and Conditions Document by the "Buyer", if within seven (7) days of written notice of the breach or violation, such breach or violation is not cured, provided that no cure period shall be applicable for the violation of any applicable law.
    b. Failure of the "Buyer" to promote product of Company and generate sales.
    c. If Buyer tries to replace material purchased from other vendor.
    No Replacement will be provided in such case.
    Unsold replacement
    1. Buyer is eligible for Unsold Replacement or No Replacement Bonus as per the Unsold Replacement Policy.
    2. Material for unsold replacement should reach to Company within Sixty (60) days. No replacement will be provided for any material received after 60 days. In some remote areas the time limit will be ninety (90) days.
    3. Buyer has to bear to and fro shipping charges of the material to be replaced.
    4. Unsold material will be replaced with material only and in no case money will be refunded. Unsold replacement will be provided in terms of material or purchase credit.
  20. 20. Company shall be entitled to reject unsold replacement upon happening of one or more of following:
  21. 21. Material received after specified time limit of sixty or ninety days depending upon the area of Buyer.
  22. 22. Material received for replacement found defective or damaged
  23. 23. Material received for replacement found unmatched with the material purchased
  24. 24. If Buyer tries to replace material purchased from other vendor. In such case Company may terminate this Terms and Conditions Document as per the provisions of Section 5 of this Terms and Conditions Document.
  25. 25. Unsold material received for replacement should be in good condition and original packing. Repacking charges will be deducted from the account of Buyer in case of damaged packing.
  26. 26. Some Catalogues/Singles are non-replaceable and therefore please check the status of replacement policy of that product before placing order. Replacement policy will always be displayed with the product exhibit.
  27. 27. This aggrement is governed by and constructed in accordance with the laws of india and subject to the jurisdiction of the courts of Surat, Gujarat.
